1. Agreement to Terms

By accessing or using ezCRM ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. Your use of the Service constitutes your acceptance of these Terms.

2. Description of Service

ezCRM is a client relationship management platform designed for professional photographers. The Service allows you to manage clients, contacts, sessions, tasks, documents, and related business information.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. User Accounts

To access certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You are responsible for safeguarding the password and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to comply with this obligation.

4. Subscription and Payment

The Service offers both free and paid subscription plans. For paid plans:

  • Subscription fees are billed monthly in advance. Prices are displayed in USD, GBP, or EUR based on your selection.
  • Payment is processed through Stripe. By subscribing, you agree to Stripe's terms and conditions.
  • Your subscription will automatically renew each month unless you cancel before the renewal date.
  • You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period.
  • We offer a 30-day money-back guarantee. If you are not satisfied, contact us within 30 days of your initial purchase for a full refund.
  • All fees are non-refundable except as required by law or as stated in these Terms.
  • We reserve the right to change our pricing with 30 days' notice. Price changes will apply to subsequent billing cycles.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Transmit any malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service to store or transmit infringing, libelous, or otherwise unlawful material
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated systems to access the Service without our written permission
  • Share your account credentials with others or allow unauthorized access

We reserve the right to suspend or terminate your account if you violate these Terms or engage in any activity that we determine, in our sole discretion, is harmful to the Service or other users.

6. User Content and Data

You retain all ownership rights to the data and content you upload to the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive license to use, store, and process your User Content solely to provide and improve the Service.

You are solely responsible for:

  • The accuracy, quality, and legality of your User Content
  • Obtaining necessary rights and permissions for any User Content you upload
  • Ensuring your User Content complies with applicable laws and regulations
  • Backing up your User Content

We do not claim ownership of your User Content. However, you acknowledge that we may need to access, use, and modify your User Content to provide technical support and maintain the Service.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by ezCRM and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms do not grant you any right, title, or interest in the Service or its content, except for the limited right to use the Service as described in these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

8. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We implement appropriate technical and organizational measures to protect your data. However, no method of transmission over the Internet or electronic storage is 100% secure. While we strive to use commercially acceptable means to protect your data, we cannot guarantee absolute security.

9. Termination

You may terminate your account at any time by canceling your subscription and deleting your account from the account settings.

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms or engage in any fraudulent, abusive, or illegal activity.

Upon termination, your right to use the Service will immediately cease. We may delete your account and User Content after a reasonable period, subject to our data retention policies and applicable law. You are responsible for exporting your data before termination.

10. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected. We do not warrant or make any representations regarding the use or results of the Service in terms of accuracy, reliability, or otherwise.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EZCRM, ITS AFFILIATES, OR THEIR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

11. Indemnification

You agree to defend, indemnify, and hold harmless ezCRM, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, actions, suits, or proceedings, as well as any losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of [Arbitration Organization], except where prohibited by law. You waive any right to a jury trial and to participate in a class action lawsuit.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last updated" date at the top of this page
  • Sending an email notification to the address associated with your account (for material changes)

Your continued use of the Service after any changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service and may cancel your account.

14. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ezCRM regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
